Terms and Conditions (brief)

Projects
Full functionality testing is the responsibility of the client, relating to all hardware, firmware, software and environmental features. Most development work is done with bench-testing, and it is not always possible to anticipate or simulate all circumstances that equipment will experience during its service life. All required functions and features should be discussed during the specification phase at the start of the project - others may be added later by arrangement, but this is likely to add time and cost.

Intellectual Property
If a complete project is being commissioned, it is possible to transfer the intellectual property (IP) relating to it on completion. This must be agreed prior to development, because it may affect how the project is pursued. Please note that the IP of a project only relates to the entity, not necessarily the individual components, functions or features of that entity. This applies even when devices or modules have been developed specifically for a project, unless specific prior arrangement has been made. Note that individual functions may have appeared in some form in previous projects, but every attempt is made to give each project a unique identity.

Prototypes
These are likely to be hand-assembled or modified equipment and are not considered suitable for release into the wild. They are intended for proof-of-concept or testing specific functionality. As such they may have stickers or other markings showing their status, along with use of specific ranges of firmware versions. Prototype units may also be life-limited (either by number of power cycles or run-time). When a prototype has been expired in this way, there will be a declared method to show this (where practical). Please remember that prototypes are likely to be fragile, part-functioned, and subject to restrictions that are a consequence of their status.

Payment and Shipping
Payment can be either by cheque or direct bank transfer - card or cash payments cannot be accepted. Credit is at the sole discretion of the Company and may be withdrawn under special circumstances. Goods will generally be shipped by Royal Mail (UK deliveries) or Federal Express (international). All international shipments should be insured, which may be an extra cost. Any import duties, taxes or other surcharges are the responsibility of the receiving party. All prices quoted are ex-works and exclude VAT, which will be charged at the appropriate rate; invoices will be presented in GBP (£ Sterling)

Warrantee
Prototypes are not delivered with any form of warrantee. This is because they are likely to have been hand-assembled and/or modified during the process of their development. Production equipment will be given a warrantee of no more than one year, dependant on the application. Decision as to repair or replacement equipment under warrantee is at the sole discretion of the Company, and cannot cover problems due to misuse or inappropriate installation of the equipment supplied. Claims for consequential damages will not be considered.

Ownership
Title of prototypes and/or IP does not transfer until the final, cleared payment of the project. All invoices relating to custom development must be settled before production is started. Title of production items does not transfer until full payment has been received and cleared. Manufacture by third-party will only be permitted when the IP of the project has been transferred, and under these circumstances we cannot guarantee full production support.

Compliance Testing
When required, this can be arranged using an independent test house. All testing should be witnessed. The client is responsible for establishing what tests and standards should be applied to the equipment, and for all consequential charges. The Company cannot guarantee that any equipment will pass first time, and reserves the right to charge for any extras required to achieve a pass.
